Regulamin świadczenia usług

These Terms set out the rules for using the web application „ReplyBasis" (the „Service"), which aggregates and handles customer messages from multiple communication channels (including email, Allegro, Erli, OLX, eBay, Mirakl, WhatsApp, Facebook, Instagram, website chat).

The provider is Gabor Grzybek, a natural person conducting business under the name Gabor Grzybek Handel i Usługi, entered in the Central Register and Information on Economic Activity (CEIDG) kept by the minister competent for the economy, NIP: 6372214433, REGON: 389680743, address: ul. Sosnowa 9/91, 32-310 Klucze, email: hello@replybasis.com (the „Provider").

User — an entrepreneur or their employee using the Service. Organization — a company account grouping Users and connected channels. Trial period — a free trial lasting 14 days from registration. Billing period — the month for which the fee for a paid plan is charged.

Using the Service requires creating an Organization account and accepting the Terms and the Privacy Policy. The User undertakes to provide accurate data and to protect login credentials from third-party access.

The account is created for an indefinite period. The User may stop using the Service at any time and delete the account together with all data from the panel (Settings, Account).

The Service is available free of charge for a 14-day Trial period. After it ends, further use requires purchasing a paid plan in line with the current pricing presented in the application. Prices are given in Polish zloty and are net prices.

Fees are charged upfront for one Billing period (a month). Payments are handled by the operator PayU S.A. The Service does not charge recurring payments automatically; renewal happens after the User pays for the next period themselves. Lack of payment after the paid period ends results in suspension of access to the panel until the amount due is settled; the Organization's data is retained.

The User may cancel the Service at any time by ceasing to pay for further periods or by deleting the account. Because there are no recurring payments, no notice or grace period is required.

A consumer and an entrepreneur with consumer rights has the right to withdraw from the contract within 14 days without giving a reason. By starting to use the paid Service before this period ends, the User acknowledges that after full performance of the service they lose the right of withdrawal, and in case of withdrawal during performance they will pay for the part performed up to the moment of withdrawal.

The User undertakes to use the Service in accordance with the law and with the terms of the connected platforms (including Allegro, Meta, eBay). Using the Service to send spam or unlawful content is prohibited.

To the extent the Service processes the personal data of the User's end customers (message content, email addresses, phone numbers), the Provider acts as a processor and the User as the controller of that data. The terms of the entrustment of processing (compliant with Art. 28 GDPR) are set out in the Privacy Policy; at the User's request the Provider makes available a separate data processing agreement (DPA).

The Provider makes every effort to keep the Service running continuously, but is not liable for interruptions resulting from causes beyond its control (API provider failures, force majeure). The Service is provided „as is". The Provider's liability toward entrepreneurs is limited to the amount of fees paid in the last 12 months.

Complaints can be submitted to the Provider's email address: hello@replybasis.com. A complaint will be considered within 14 days of its receipt.

A consumer may use out-of-court methods of handling complaints and pursuing claims, including the European Commission's online dispute resolution (ODR) platform.

The Provider reserves the right to amend the Terms for important reasons. Users will be informed of changes in advance (by email or in the panel). Matters not covered herein are governed by Polish law.
